A token project needs a legal entity that can sign contracts, own intellectual property, keep books and limit liability. A British Virgin Islands business company is a common choice for this layer.
We advise founders on the group structure, the securities-law position of the token and the compliance documentation, and we coordinate the BVI formation through a licensed BVI registered agent. The client owns and operates the company. Our role is advisory.
Why BVI for Web3 projects
BVI has no corporate tax, no capital gains tax, no withholding tax and no audit requirement for most companies. It uses English common law, and its company law is familiar to banks, exchanges and institutional counterparties.
BVI applies AML rules, economic substance requirements and beneficial-ownership reporting to its registered agents, and registered agents verify every owner. Counterparties onboard a BVI company because it sits inside that framework.
Treasury and governance
A BVI company can own the project treasury, intellectual property and contracts: listings, service-provider agreements and grant agreements. Founders and investors hold shares or tokens as the project design requires.
This separates project assets from personal wallets and creates a clear governance and accounting layer. Institutional counterparties generally contract with a legal entity, and the company gives them one.
DAO legal entities
BVI has no specific DAO statute. A BVI company can act as the legal entity for a DAO: it holds assets and signs contracts on the DAO’s behalf, while token holders govern through on-chain voting within limits set in the company’s constitution.
Token issuance and securities law
A BVI company can coordinate a token issuance. Securities law in the countries where tokens are offered still applies. If the token is an investment contract, a share or a debenture, it may be a security in those markets.
We work with counsel in the target offering jurisdictions to classify the token and map it to the right exemption or registration path.
When a regulated subsidiary is needed
A BVI company holds no licence by itself. A project that runs an exchange, custody service or payment business will usually need a regulated entity in a jurisdiction such as Singapore, the UAE or the US. The BVI company can own that subsidiary and the group IP. We advise on which activities trigger a licence and prepare the application file with the client’s licensed team.
Banking and custody
We prepare the compliance file that banks and EMIs review: certificate of incorporation, registers of directors and shareholders, beneficial-ownership declaration, source of funds and a clear explanation of token economics and treasury use. The account decision is the bank’s.
Projects that hold digital assets use institutional custodians such as Coinbase Prime, BitGo or Fireblocks under their own contracts. We advise on how custody and banking fit into the governance documents. INNOVA does not hold, transfer or custody client assets.
Substance
A holding or IP-owning BVI company usually has reduced economic substance requirements. A company that actively manages investments, runs development or licenses technology may need more. We advise on the right level before formation.
